Terms and Conditions

Please read these terms carefully before using the Kolab platform.

Jurisdiction: Governed under the laws of the Democratic Socialist Republic of Sri Lanka

1. Acceptance of Terms

By creating an account, browsing, or conducting any transaction on Kolab ("the Platform"), you agree to be legally bound by these Terms and Conditions, our Privacy Policy, and any other policies linked herein. If you do not agree, you must discontinue using Kolab immediately.

2. Platform Overview

Kolab is an online marketplace connecting influencers, content creators, and models ("Sellers") with brands and clients ("Buyers").

The platform facilitates:

  • Discovery of talent and services
  • Communication, collaboration, and transactions
  • Secure payments and dispute resolution

Kolab is not a party to contracts between Buyers and Sellers but acts as an intermediary and payment facilitator.

3. Account Eligibility

To use Kolab, you must:

  • Be at least 18 years of age or older to create an account
  • Provide accurate and verifiable information (name, NIC/passport, contact, and payment details)
  • Maintain only one active account per individual or entity unless authorized by Kolab
  • Maintain the security of your account credentials
  • Not be prohibited from using the Platform under applicable laws

Kolab reserves the right to suspend or terminate accounts for false information, fraud, or violation of these terms.

4. Packages and Pricing

Each Seller must maintain three default packages (Basic, Standard, Premium) with pre-defined services.

  • Sellers may modify only the prices, not the listed deliverables
  • Custom packages may be created using Kolab's "Custom Offer" system, subject to approval
  • All prices are shown in Sri Lankan Rupees (LKR), with optional USD display

5. Payments and Fees

All transactions between Buyers and Sellers must occur exclusively through Kolab.

  • Kolab charges a service fee (typically 10–20%) from each completed transaction
  • Payments are held in escrow by Kolab until delivery confirmation from the Buyer
  • Funds are released to the Seller 3–7 business days after Buyer approval or automatic completion
  • All payments are processed through secure third-party payment processors
  • Direct payments, external bank transfers, or off-platform agreements are strictly prohibited
  • You are responsible for any taxes related to your earnings or payments

6. Anti-Circumvention Policy 🚫

Strictly Enforced

To protect both parties and the integrity of Kolab's ecosystem:

  • Buyers and Sellers must not exchange personal contact information (WhatsApp, phone, email, etc.) before a confirmed Kolab order
  • All collaborations after the first project must continue on Kolab
  • Attempting to bypass the platform (for example, agreeing to work directly outside Kolab) constitutes a breach of contract

Violations will result in:

  • Immediate account suspension
  • Forfeiture of pending payments
  • Legal action under Sri Lankan contract law for loss of commission and damages

Kolab reserves the right to monitor messages and transactions for fraud prevention and compliance with this policy.

7. Delivery, Revisions & Disputes

  • Sellers must deliver work within the agreed timeframe
  • Buyers are entitled to revisions as defined in the package
  • If a dispute arises, either party can request mediation through Kolab's support system
  • Kolab's decision on disputes shall be final and binding
  • Repeated disputes or poor conduct may lead to account demotion or suspension

8. Ownership & Usage Rights

  • Unless otherwise agreed, intellectual property (content, images, videos) transfers to the Buyer only after full payment
  • Kolab may use completed projects for marketing and promotional purposes, with credit to the creator
  • Sellers are responsible for ensuring all materials used (music, images, models, etc.) are copyright-free or licensed
  • All Platform content, features, and functionality are owned by Kolab and protected by intellectual property laws

9. Confidentiality & Data Protection

  • Users agree not to share private project details, client briefs, or personal data outside Kolab
  • Kolab will handle all personal and financial information in compliance with Sri Lanka's Data Protection Act, No. 9 of 2022
  • Payment data is encrypted and processed securely through PCI-compliant providers
  • We use cookies and similar tracking technologies to improve your experience

10. Prohibited Conduct

Users must not:

  • Post false, misleading, or plagiarized content
  • Attempt to manipulate ratings or reviews
  • Harass, threaten, or discriminate against others
  • Upload pornographic, violent, or illegal material
  • Use automated tools or scripts to scrape data
  • Engage in money laundering or fraud
  • Violate any applicable laws, regulations, or third-party rights
  • Impersonate any person or entity
  • Interfere with or disrupt the Platform's functionality
  • Attempt to gain unauthorized access to any part of the Platform

Violations will result in account termination and may be reported to relevant authorities.

11. Taxes & Legal Responsibility

  • Sellers are responsible for declaring their income and paying applicable taxes under Sri Lankan law
  • Kolab will provide transaction records upon request for tax filing
  • Kolab is not responsible for any legal obligations arising from a user's failure to comply with national tax or business registration laws

12. Limitation of Liability

Kolab acts solely as a facilitator and is not liable for:

  • Delays, miscommunication, or failure to perform by either party
  • Content accuracy or copyright infringements
  • Indirect, incidental, or consequential damages
  • User conduct or content quality, safety, or legality
  • Uninterrupted or error-free service

Maximum liability shall not exceed the total fees paid by the Buyer for the disputed transaction.

13. Suspension & Termination

Kolab may, at its discretion, suspend or permanently ban users who:

  • Violate these terms
  • Engage in fraud, abuse, or off-platform transactions
  • Damage Kolab's brand or operations
  • Receive repeated poor ratings or disputes
  • Create risk or legal exposure for Kolab or other users

All pending earnings may be withheld if violations involve fraud or circumvention. You may terminate your account at any time through account settings. Upon termination, your right to use the Platform ceases immediately.

14. Changes to Terms

Kolab reserves the right to update these Terms and Conditions at any time.

  • Updates will be effective immediately upon posting
  • Continued use of the platform constitutes acceptance of the revised terms

We may also modify, suspend, or discontinue any part of the Platform at any time. We are not liable for any modification, suspension, or discontinuation of services.

15. Governing Law & Jurisdiction

These Terms shall be governed by and interpreted in accordance with the laws of the Democratic Socialist Republic of Sri Lanka.

All disputes shall fall under the exclusive jurisdiction of the Colombo District Courts.
